  1. By submitting Content as defined below, you (“Contributor”) irrevocably grant 80/20, Inc., and its representatives, agents, licensees, successors and assigns, and those acting with the permission or authorization of any of them (collectively, “80/20”), a perpetual, irrevocable, non-terminable, unconditional, non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, publish, store, display, reproduce, modify, adapt, create derivative works from, perform publicly, distribute, and otherwise exploit the submitted Content for publicity, advertising, promotional, educational, or any other lawful commercial or non-commercial purpose (the “Licensed Rights”), all without compensation to Contributor.
  2. “Content” as it used in this license agreement means any image, photograph, picture, video, text, sound recording, or any portion thereof, uploaded by Contributor via the 80/20 website or 80/20 mobile application, including Contributor’s image, voice, name, photograph, quotations, signature, and/or other aspects of Contributor’s likeness.
  3. By submitting Content, Contributor further agrees that 80/20’s Licensed Rights apply to any and all depictions or recordings of the Content, in which Contributor may be included in whole or in part, whether composite or distorted in character or form, in conjunction with or without Contributor’s name, or with a fictitious name or avatar, made through any medium or in any format now know or later developed, including electronic publishing.
  4. 80/20 reserves the right to remove or modify Content for any reason, including User Content that 80/20 believes violates the 80/20 Website and Mobile Application Terms of Use, its other policies, or any federal or state law. Following termination or deactivation of Contributor’s account, or if Contributor removes any Content, 80/20 may retain the Content indefinitely and may continue use, publish, store, display, reproduce, modify, adapt, create derivative works from, perform publicly, distribute, and otherwise exploit your Content.
  5. Contributor hereby releases 80/20 from, and otherwise waives any and all claims based upon or arising out of the use, reproduction, distribution, display, or performance of all or any part of any depiction or recordings made of or including the submitted Content, or any derivative thereof, including any claim of moral rights, copyright or trademark rights, right to privacy, or right of publicity.
  6. Contributor represents and warrants that, to the best of Contributor’s knowledge: none of the rights licensed to 80/20 are encumbered in any way that the submitted Content does not and will not infringe the rights of any third party, including, without limitation, any rights of defamation, privacy, publicity, trademark or copyright; that the submitted Content does not violate any relevant law, ordinance, or other government regulation. Contributor hereby agrees to, at his or her own expense, protect, defend, indemnify, and hold harmless 80/20 against every claim, demand, action, judgment, decree, loss, theft, damage, liability, cost, and expense, including any amounts paid in defense or settlement, which may arise from or be incurred in connection with the infringement or alleged infringement or violation or alleged violation of any right of any third person or entity arising out use of the Content by 80/20.
  7. Winners must be a legal resident of the United States and at least 18 years of age. Prizes only ship to the Continental United States.
  8. 80/20 employees and their immediate family members, as well as employees of 80/20 distributor partners, are not eligible to participate.
  9. Nothing in these Terms shall restrict other legal rights 80/20 may have to Content, for example under other licenses.
